1. Who you are contracting with

The online store at midauto.com (the "Site") is operated for the MID Auto group. Each contract of sale is concluded with only one of the following companies (each the "Seller"), determined by the delivery address and displayed to the customer before the order is finally submitted:

  • International orders (delivery outside Bulgaria): MID AUTO INTERNATIONAL Ltd., UIC 208695399, VAT BG208695399, registered office: 14G Filip Kutev Blvd., Sofia, Bulgaria; e-mail: [email protected].
  • Orders delivered within the Sofia zone: M I D Auto - Sofia Ltd., UIC 201535043, VAT BG201535043, registered office: 10 Arch. Stefan Kolchev Str., Varna, Bulgaria, with a retail location in Sofia; e-mail: [email protected].
  • All other orders with delivery in Bulgaria: MID Auto Ltd., VAT BG103140975, registered office: Varna, Evksinograd, Street 14 No. 3, Bulgaria; e-mail: [email protected], [email protected].

The Seller for the specific order, including its legal name, UIC, address and contact details, is displayed at the final checkout stage before the order button and is repeated in the order confirmation and invoice. For an approved B2B account, the Seller may be assigned individually before the order is submitted; the Seller displayed at checkout prevails over the general delivery-address rule.

2. Definitions

  • "Consumer" - a natural person acting for purposes outside their trade, business, craft or profession, within the meaning of the Bulgarian Consumer Protection Act and Directive 2011/83/EU.
  • "B2B Customer" means a legal entity or a natural person acting wholly within their trade, business, craft or profession. Supplying business details, a VAT number or using a B2B account is evidence of the declared business status, but the customer’s actual status is determined by the purpose of the transaction.
  • "Products" means automatic-transmission spare parts, components, kits, complete transmissions, torque converters, valve bodies, electronic components and related goods, whether new or remanufactured. OE/OEM references, VINs, transmission codes and compatibility information are identification tools and must be verified before installation.
  • "Remanufactured Product" means a used unit or component professionally restored, checked and/or tested for reuse. Its remanufactured nature, prior-use marks, replaced components and commercial warranty do not limit mandatory Consumer rights described in the Warranty Policy.

3. Scope and acceptance

These Terms and Conditions (the "Terms") govern use of the Site and sales to both Consumers and B2B Customers. By submitting an order, you confirm that you had the opportunity to read and accept these Terms. The Return Policy and Warranty Policy form part of the Terms. The Privacy Policy and Cookie Policy are informational; consent to optional cookies is requested separately.

Where these Terms grant Consumers specific rights, those provisions apply only to Consumers. Nothing in these Terms limits any mandatory rights granted to Consumers by applicable law.

4. Accounts and B2B registration

You may order as a guest or through an account. B2B accounts are activated after review and may be refused, restricted or closed for inaccurate information, abuse, unpaid amounts, fraud risk or breach of these Terms. A person using a B2B account represents that they are authorised to bind the stated business. The customer is responsible for account security and for accurate VIN, OE/OEM reference, transmission code and other technical information. A compatibility statement binds the Seller only where expressly given in writing on the basis of complete and accurate information.

5. Prices and payment

All prices are in euro (EUR) and include VAT where applicable to the specific sale, unless a net B2B price is expressly stated. Delivery costs, applicable charges and the total price are shown before the order is submitted. For intra-EU and international sales, tax treatment may depend on the delivery country, customer status and validity of the VAT number supplied.

We accept the following payment methods:

  • Bank transfer - the order is processed after the amount is received in the Seller’s account; bank details are provided in the order confirmation.
  • Card payment - debit and credit cards, processed securely by Stripe. We do not store your full card details.
  • Cash on delivery - available only for deliveries within Bulgaria, via ECONT.

For high-value, specially sourced, customised or higher-risk orders, the Seller may require full or partial advance payment, identity/business verification or additional confirmation before the contract is concluded. Invoices are issued under applicable law. The customer is responsible for accurate billing data and authority to use the selected payment method.

6. Ordering and conclusion of the contract

Product listings are invitations to place an order, not binding offers. An automated message only acknowledges receipt. The contract is concluded when the Seller expressly confirms acceptance/dispatch; authorisation or receipt of payment alone is not acceptance. Before acceptance, the Seller may refuse an order because of unavailability, an obvious pricing or technical error, incomplete data, suspected fraud, sanctions/export-control concerns or objective inability to perform. Any amount received for an unaccepted order is refunded without undue delay.

7. Delivery

Bulgarian deliveries are normally made by ECONT and international deliveries by DHL or another stated carrier. The delivery period and price are displayed or confirmed before the contract is concluded. Consumer orders are delivered within the agreed period or, if none is agreed, within the statutory period. For B2B Customers, stated delivery periods are estimates unless expressly agreed as essential. Heavy or bulky Products may require pallet freight and special unloading arrangements.

For Consumers, risk passes when the Consumer or a nominated third party other than the carrier takes physical possession, except where the carrier was independently selected by the Consumer and not offered by the Seller. For B2B Customers, risk passes on handover to the first carrier unless otherwise agreed in writing. For B2B sales, title remains with the Seller until all amounts due are paid in full, to the extent permitted by applicable law.

8. Inspection upon delivery and transport damage

Inspect the shipment on delivery and, for visible damage, obtain a carrier damage report, retain all packaging and notify us with photographs. B2B Customers must record visible shortages or damage on delivery and give written notice within 2 business days; latent defects must be notified within 5 business days after discovery, with the Product and evidence preserved for inspection. Failure to meet these reasonable B2B periods may result in loss of the corresponding contractual claim. A Consumer’s failure to inspect or notify immediately does not limit statutory rights.

9. Right of withdrawal (Consumers only)

If you are a Consumer, you have the right to withdraw from the contract within 14 days without giving any reason. The withdrawal period expires 14 days after the day on which you or a third party designated by you (other than the carrier) acquires physical possession of the Products (or of the last item, for multiple Products ordered together and delivered separately).

To exercise the right, send an unequivocal statement to the Seller before expiry: through the Site withdrawal function where available and legally required, the Return Request Form (https://midauto.com/return-request), the Seller’s e-mail, or the model form in the Return Policy. The online form and an RMA number facilitate identification but are not conditions for a valid statutory withdrawal.

For a valid withdrawal, we refund payments received, including the cost of the least expensive standard outbound delivery offered, without undue delay and no later than 14 days after notice. We may withhold the refund until the Product is received or evidence of dispatch is provided. The same payment method is used unless the Consumer expressly agrees otherwise without additional cost. Cash-on-delivery payments are refunded by bank transfer to the Consumer’s IBAN or by postal money transfer, as expressly agreed.

The Product must be returned without undue delay and within 14 days after notice. Direct return costs are borne by the Consumer where properly disclosed before ordering; for goods that cannot normally be returned by post, an estimate or calculation method is provided in advance. The Consumer is liable for diminished value caused by handling beyond what is necessary to establish the nature, characteristics and functioning. Diminution is determined after a documented technical inspection by reference to condition, cleaning/testing/reconditioning required and actual resale prospects.

The right of withdrawal does not apply to Products genuinely made to the Consumer’s specifications or clearly personalised so that they cannot be offered to another customer without substantial reworking. Special sourcing, VIN/OE identification or absence from stock alone is insufficient. Removing a control seal, opening, filling with fluid, programming, adapting, installing or operating a Product does not automatically extinguish the right, but will normally exceed permitted inspection and may cause substantial, including total, diminished value where specifically evidenced.

No restocking or handling fee is charged to Consumers exercising the statutory right of withdrawal.

10. Returns for B2B Customers

B2B Customers have no statutory right of withdrawal. As an exception, the Seller may approve a return within 30 days after delivery subject to prior RMA authorisation. Products must normally be unused, uninstalled, uncontaminated, retain intact identifiers and have packaging suitable for resale. Specially sourced, personalised, electrical/electronic or opened technical components may be excluded. An objectively determined restocking fee of up to 20% may be deducted based on inspection, testing, repackaging, special handling and reduced saleability. No fee applies to a proven Seller error or accepted non-conformity. Returns are sent to MID Auto Ltd., 3 Usta Kolyo Ficheto Str., Western Industrial Zone, Varna, Bulgaria, under the Return Policy.

11. Warranty

The additional commercial warranty is set out in the Warranty Policy. Unless a specific warranty statement provides more favourable terms, repairs performed at our Varna facility on a vehicle delivered to us have a 12-month commercial warranty on the repair, while shipped Products, including complete transmissions, torque converters and valve bodies, have a 6-month commercial warranty. Professional-installation and technical-document requirements apply to this additional warranty. Claims are submitted at https://midauto.com/warranty-claim.

For Consumers, the commercial warranty is additional to and does not affect free statutory remedies for non-conformity. For sales by a Bulgarian Seller, the statutory period is at least two years from delivery and is not reduced to one year merely because a Product is remanufactured or used. More favourable mandatory rules of the Consumer’s habitual-residence country and any statutory extension following an elected repair also apply.

12. Liability

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded, including liability for wilful misconduct or gross negligence, death or personal injury, mandatory product liability and statutory Consumer rights.

For B2B Customers, to the extent permitted by law, the Seller’s aggregate contractual and non-contractual liability for a particular order is limited to the net price of the affected Product. Indirect or consequential loss, lost profit, lost customers, downtime, replacement transport, labour, diagnostics, removal or reinstallation are excluded unless expressly accepted in writing. The B2B Customer is responsible for diagnosis, part selection, professional installation, adaptation and related systems and shall indemnify the Seller against third-party claims caused by inaccurate data, improper installation, alteration or use contrary to instructions.

13. Intellectual property

Site content, including text, descriptions, technical information, interactive diagrams, photographs, logos and the selection and arrangement of databases, belongs to the MID Auto companies or licensors. Manufacturer names and OE/OEM references are used only to identify compatibility. Systematic extraction, scraping, automated copying, republication or use for a competing database without prior written consent is prohibited, except to the extent of a non-waivable legal right.

14. Personal data

Personal-data information is in the Privacy Policy. Retention varies by purpose: accounting and tax records, contractual evidence, technical traceability, product-safety information and claim files are retained for the applicable statutory and limitation periods, including up to 10 years, and for longer while a dispute is pending.

15. Force majeure

Neither party is liable for delay or non-performance caused by an unforeseeable and unavoidable event beyond reasonable control, except for accrued payment obligations. The affected party shall notify the other and mitigate effects. If the event continues for more than 60 days, either party may terminate the unperformed part and amounts paid for undelivered Products are refunded. This clause does not remove mandatory Consumer remedies for delayed delivery.

16. Governing law and jurisdiction

These Terms and contracts are governed by Bulgarian law. For B2B Customers, the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded where applicable. All B2B disputes, including formation, validity, performance and termination, are subject exclusively to the court having subject-matter jurisdiction in Sofia, Bulgaria.

For Consumers, the choice of Bulgarian law does not deprive them of mandatory protection under the law of their habitual-residence country which would apply absent a choice, under Article 6(2) of Regulation (EC) No 593/2008. Jurisdiction is determined under Regulation (EU) No 1215/2012 and mandatory rules, including rules protecting the courts of the Consumer’s domicile.

17. Amendments and severability

We may amend the Terms only prospectively. Each order is governed by the version supplied on a durable medium and in force when submitted; evidence of that version and acceptance is retained. If a provision is invalid, it applies to the maximum lawful extent or is replaced by the applicable legal rule without affecting the remaining provisions.

18. Complaints and alternative dispute resolution (ADR)

Complaints are sent to the relevant Seller in section 1; we acknowledge receipt and aim to give an initial reasoned response within 14 days, without changing statutory remedy deadlines. Bulgarian Consumers may contact the Consumer Protection Commission, 1 Vrabcha Street, floors 3-5, Sofia 1000, www.kzp.bg, and a competent conciliation commission. For cross-border disputes, assistance may be sought from a European Consumer Centre / ECC-Net. The Seller participates in ADR where legally required or expressly agreed for the particular dispute; court rights remain unaffected.
